Pursuant to Chapter 2 of part 13 of the Companies Act 2006, the directors of the Company proposed and passed the following resolutions on 12 April 2021, as a special resolution and an ordinary resolution respectively:

"That the Company be wound up voluntarily and that Nigel Price (IP No. 8778) and Joseph Gordon Maurice Sadler (IP No. 9048) both of Elwell Watchorn & Saxton LLP, 13 Church Street, Stourbridge, DY8 1LT be and are hereby appointed as Joint Liquidators for the purposes of such winding up."
