SPECIAL RESOLUTION

Pursuant to Section 378 (1) of the Companies Act 1985 and 84(1)(c) and 100 of the Insolvency Act 1986).

Passed 13 April 2017

At a General Meeting of the members of the above named company, duly convened and held at 40 Churchgate, Bolton BL1 1HL, on 24 March 2017, at 12.00 noon the following resolutions were duly passed; No. 1 as a special resolution and No. 2 as an ordinary resolution:

1. "That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind-up the same, and accordingly that the Company be wound up voluntarily".

2. "That Gareth Howarth of Path Business Recovery Limited, be and he is hereby appointed Liquidator for the purposes of such winding-up".
