At a General Meeting of the above named Company duly convened and held at Ashridge Executive Education, Berkhamsted, Hertfordshire, HP4 1NS on 19 December 2019 at 2.00 pm, the following resolutions were passed as a Special Resolution and an Ordinary Resolution respectively:

“That the Company be wound up voluntarily and that Simon Carvill-Biggs (IP No. 15930) and Miles Needham (IP No. 14372) both of FRP Advisory LLP, 4 Beaconsfield Road, St Albans, Hertfordshire, AL1 3RD be and are hereby authorised to distribute, amongst the members, in specie all or any part of the assets of the Company."
