At a general meeting of the Members of the above-named Company, duly convened, and held at Emerald House, 20-22 Anchor Road, Aldridge, Walsall WS9 8PH on 11 November 2022, the following resolutions were passed: Numbers 1 and 3 as Special resolutions and 2, 4, 5 and 6 as Ordinary resolutions.

Resolutions

1. That the Company be wound up voluntarily and

2. That Mr C H I Moore of K J Watkin & Co., Emerald House, 20-22 Anchor Road, Aldridge, Walsall WS9 8PH, be appointed Liquidator of the Company and

3. That the Liquidator be authorised to distribute the debt due from P R Trinity Investments Ltd in specie to Mr R K Bagga and Mr P K Bagga, and the overdrawn Director`s loan account of Mr R K Bagga be distributed in specie to Mr R K Bagga, and the overdrawn Director`s loan account of Mr P K Bagga be distributed in specie to Mr P K Bagga and

4. That the Liquidator`s fees will be charged as a fixed amount of ÂŁ8,000 plus expenses and VAT and

5. That the Liquidator be authorised to recover Category 2 expenses in accordance with their recovery policy disclosed to the Members. and

6. That the Liquidator be authorised to instruct Mr R J Taylor of R. J. Taylor & Co to prepare final accounts and to finalise the Corporation Tax liability for the Company and to pay their reasonable costs for doing so as an expense of the liquidation.
