At a general meeting of the Members of the above-named Company, duly convened, and held at Commerce House, Ridings Park, Eastern Way, Cannock WS11 7FJ on 2 January 2019 at 11.30 am, the following resolutions were passed: 1, 3 and 5 as Special resolutions and 2 and 4 as Ordinary resolutions.

Resolutions

1. That the Company be wound up voluntarily" and

2. "That Martin Frederick Peter Smith and Nicola Joanne Meadows be appointed Joint Liquidators of the Company and that they be authorised to act either jointly or separately" and

3. "That the Joint Liquidators shall distribute in accordance with the Reconstruction Agreement dated 2 January 2019" and

4. "That the Joint Liquidators' fees will be charged as a fixed amount of ÂŁ7,500 plus VAT and disbursements" and

5. "That the Joint Liquidators are authorised to act in accordance with s110 of the Insolvency Act 1986 and are authorised to enter into the Reconstruction Agreement."
