Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, the directors of the company proposed that the following written resolutions were passed on 21 June 2019 as a special and an ordinary resolution, respectively:

“That it has been proved that the Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up the same and, accordingly, that the Company be wound up voluntarily and that Paul David Williams (IP No. 9294) and Benjamin John Wiles (IP No. 10670) both of Duff & Phelps Ltd, The Shard, 32 London Bridge Street, London, SE1 9SG be and are hereby appointed Joint Liquidators of the Company for the purposes of its voluntary winding-up.”
