At a General Meeting of the above named Company duly convened and held at 77 Hot Metal Street, Pittsburgh, Pennsylvania 15203 USA on 26 October 2017, at 3.30 pm, the following resolutions were passed as a Special Resolution and an Ordinary Resolution respectively:

“That the Company be wound up voluntarily and that Russell Stewart Cash (IP No. 8783) and Ben Woolrych (IP No. 10550) both of FRP Advisory LLP, 7th Floor, Ship Canal House, 98 King Street, Manchester, M2 4WU having provided a statement of being qualified to act as insolvency practitioners in relation to the Company and consented to act be and are hereby appointed Joint Liquidators for the purpose of the voluntary winding up on 26 October 2017."
