At an EXTRAORDINARY GENERAL MEETING of the above named company, duly convened, and held at Unit 23A Commerce House, Sherbourne Street, Manchester, M8 8HF on 2 December 2016 the following SPECIAL RESOLUTION and ORDINARY RESOLUTION was duly passed, viz:

SPECIAL RESOLUTION

1. “THAT it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up the same.

ORDINARY RESOLUTION

2. Accordingly, that the Company be wound up voluntarily and that Alison Law Solicitors LLP be and are hereby appointed Liquidators for the purposes of such winding up.”
