By a Written Resolution of the members of the Company the subjoined resolution, was passed on 1 August 2019, viz:·

SPECIAL RESOLUTIONS

1 THAT the Company be wound-up voluntarily and Lee Causer (Officeholder number: 14112) and Edward Kerr (Officeholder number: 9021) of Messrs BDO LLP, Two Snowhill, Snow Hill Queensway, Birmingham, B4 6GA and Jeremy Willmont (Officeholder number: 9044) of Messrs BDO LLP, 150 Aldersgate Street, London, EC1A 4AB be appointed Joint Liquidators for the purposes of such winding-up, and are to act jointly and severally.

2 THAT the Joint Liquidators be authorised to distribute all or part of the assets in specie to the shareholders in such proportion as they mutually agree.
