By a Written Resolution of the members of the Company, the subjoined resolution, was passed on 2 October 2020, viz:

SPECIAL RESOLUTION

1. THAT the Company be wound-up voluntarily and Malcolm Cohen (officeholder number: 6825) of BDO LLP, 55 Baker Street, London, W1U 7EU and Matthew Chadwick (officeholder number: 9311) of BDO LLP, 2nd floor, 2 City Place, Beehive Ring Road, Gatwick, RH6 OPA respectively, be appointed Joint Liquidators for the purposes of such winding-up, and are to act jointly and severally.

2. THAT the Joint Liquidators be authorised to distribute all or part of the assets in specie to the shareholders in such proportion as they mutually agree.
