Pursuant to chapter 2 of part 13 of the Companies Act 2006, the directors of the Company propose that:

1. resolution 1 is passed as special resolution (Special Resolution); and

2. resolutions 2 and 3 are passed as ordinary resolutions (Ordinary Resolutions).

Special Resolution

1. That it has been proved to the satisfaction of this meeting that the company cannot by reason of its liabilities continue its business and that it is advisable to wind up the same and accordingly that the company be wound up voluntarily.

Ordinary Resolution

2. That Alistair McAlinden and Blair Carnegie Nimmo of lnterpath Advisory are hereby appointed Joint Liquidators for the purpose of such winding up and that any act required or authorised under any enactment to be done by the Liquidator is to be done by them jointly or by any one of them.
