Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, the directors of the Company proposed on 29 May 2019, that the following written resolutions be passed:

“That the Company be wound up voluntarily and that Liam Alexander Short (IP No. 14570) and Graham Stuart Wolloff (IP No. 8879) both of Elwell Watchorn & Saxton LLP, 109 Swan Street, Sileby, Leicestershire, LE12 7NN be and are hereby appointed Joint Liquidators for the purposes of such winding up."

The undersigned, being all the persons who are entitled to vote on the above resolutions on the date of circulation to them, irrevocably vote in favour of them.
