At a General Meeting of the Members of the above-named companies, duly convened, and held on 28 June 2021 the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution:

1. That the companies cannot by reason of its liabilities, continue its business and that it is advisable to wind up the same and that accordingly the Companies be wound up voluntarily.

2. That Alison Grant and Edward Williams of PricewaterhouseCoopers LLP be and are hereby appointed Joint Liquidators of the companies for the purpose of the voluntary winding up and:

3. That anything required or authorised to be done by the Joint Liquidators be done by both or either of them.
