At a General Meeting of the above-named Company, duly convened and held at Suite 5, 2nd Floor, Bulman House, Regent Centre, Gosforth, Newcastle upon Tyne, NE3 3LS on 19 December 2019 at 10.00 am, the following resolutions were duly passed as a Special resolution and as an Ordinary resolution respectively:

"That the Company be wound up voluntarily and that Antonya Allison (IP No. 23270) of FRP Advisory LLP, Suite 5, 2nd Floor, Bulman House, Regent Centre, Gosforth, Newcastle upon Tyne, NE3 3LS and Iain Townsend (IP No. 15850) of FRP Advisory LLP, 1st Floor, 34 Falcon Court, Preston Farm Business Park, Stockton on Tees, TS18 3TX be appointed Joint Liquidators for the purposes of such winding up."
