At a General Meeting of the above-named Company, duly convened and held at First Floor Gibraltar House, Crown Square, First Avenue, Burton On Trent DE14 2WE on 17 June 2019 at 10.00 am. the following resolutions were passed as a Special resolution and Ordinary resolution respectively:-

1. That the Company be wound up voluntarily" and

2. "That Nicola J Meadows and Martin FP Smith, of Dains Business Recovery Limited, Charlotte House, Stanier Way, The Wyvern Business Park, Derby DE21 6BF, be appointed Joint Liquidators of the Company and that they be authorised to act either jointly or separately" and

3. "That the Joint Liquidators be authorised to distribute any of the company's assets in specie" and

4. "That the Joint Liquidators' fees will be charged in dealing with the matters relating to the liquidation of the company will be fixed at ÂŁ2,750 plus VAT and disbursements."

5. "It is understood that the Directors have instructed Dains LLP to prepare final accounts for the Company and to pay their reasonable costs for doing so as an expense of the liquidation."
