Ordinary Resolution

THAT Malcolm Cohen (officeholder number: 6825) of BDO LLP, 55 Baker Street, London, W1U 7EU and Matthew James Chadwick of BDO LLP, 2 City Place, Beehive Ring Road, Gatwick, West Sussex, RH6 0PA (officeholder number: 9311) (together “the Replacement Joint Liquidators”) be and are hereby appointed liquidators for the purposes of winding up the Companies affairs and that any act required or authorised under any enactment or resolution of the Companies to be done by them, may be done by them jointly or by each of them alone.

Ordinary Resolution

THAT the basis of the remuneration of the Replacement Joint Liquidators be fixed by reference to the time properly given by the Replacement Joint Liquidators and their staff in attending to matters arising in the winding-up together with VAT thereon.

The undersigned being, as at the Circulation Date set out above, the sole member of the Companies pursuant to the provisions of Part 13 of the Companies Act 2006, hereby agrees to the resolutions set out above.
