At a General Meeting of the Members of the above-named company, duly convened, and held on 18 July 2018 the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution:

As a Special Resolution

That it has been proved to the satisfaction of the members meeting that the company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the company, and accordingly that the company be wound up voluntarily.

As Ordinary Resolutions

That Matthew Robert Haw and Graham Bushby of RSM Restructuring Advisory LLP, 9th Floor, 25 Farringdon Street, London EC4A 4AB be and are hereby appointed Joint Liquidators for the purposes of such winding up.

That the Joint Liquidators are to act jointly and severally.
